OVERVIEW

GroupBreak LLC (“GroupBreak,” “we,” “us,” or “our”) operates this website, groupbreak.com (the “Site”). By accessing the Site, creating an account, purchasing a product or service, or participating in any livestream, break, or sale offered through GroupBreak, you engage in our “Service” and agree to be bound by the following Terms & Conditions (“Terms”). These Terms apply to all users of the Site, including without limitation customers, purchasers, sellers, bidders, and viewers.

Please read these Terms carefully before using the Site. If you do not agree to all of the Terms, you may not use the Site or participate in our Services. We reserve the right to update or modify these Terms at any time by posting changes on this page. Your continued use of the Site constitutes acceptance of any changes.

 

SECTION 1 — ELIGIBILITY & ACCOUNT RESPONSIBILITY

By using the Site, you represent that you are at least the age of majority in your jurisdiction. You are responsible for maintaining the security and confidentiality of your account and login credentials and for all activities occurring under your account. You may not create duplicate accounts or multiple accounts in order to circumvent promotion limits. We reserve the right to refuse service, terminate accounts, or cancel orders in our sole discretion.

 

SECTION 2 — GROUP BREAKS

When purchasing a spot in a group break, you are purchasing the opportunity to receive cards or value based on the break format. All purchases are final. Once a break begins, no refunds, cancellations, or chargebacks will be permitted.

Please be aware that GroupBreak reserves the right to cancel the break at any time if it does not sell out.

GroupBreak determines card assignment rules for each break format, which are stated on the Site or during the break. By entering a break, you agree to be bound by the stated allocation method. Participation in breaks involves risk and chance. There is no guarantee of receiving a card of any specific type or value.

 

SECTION 3 — FRACTIONAL BREAKS

GroupBreak offers a break format referred to as “Fractional Breaks,” where customers purchase a percentage interest in 100% of a sealed product. By purchasing into any Fractional Break, you expressly acknowledge and agree that all cards pulled in such breaks are automatically sold or submitted to auction at the sole discretion of GroupBreak. Cards from Fractional Breaks will not be shipped to customers under any circumstances.

Participants in Fractional Breaks receive proceeds proportionate to their purchased percentage after sales, auction results, and applicable processing. GroupBreak has full discretion regarding sale timing, sale platform, and disposition of cards. By entering a Fractional Break, you appoint GroupBreak as your agent solely for the purpose of selling cards obtained through that break.

You further acknowledge that you have no right to demand shipment or physical possession of any card from a Fractional Break and no right to challenge sale method, timing, or result.

 

SECTION 4 — SELL BUTTON / AUCTION BUTTON

GroupBreak may offer users the ability to sell cards to GroupBreak by selecting the “Sell” button associated with a card in the user’s account. By selecting the Sell button, the user agrees that the transaction is final, binding, and irrevocable. Ownership of the card transfers immediately to GroupBreak upon execution of the sale, and the user will receive the displayed amount as a credit to their account balance.

All sales executed via the Sell button are non-cancelable and non-reversible, and no disputes will be accepted. Buyback prices are determined solely by GroupBreak and may be modified at any time prior to the user’s execution of the sale.

GroupBreak may also offer users the option to submit cards for auction by selecting an “Auction” button associated with a card in the user’s account. Cards submitted for auction will be listed on an auction site. including but not limited to eBay, chosen at the sole discretion of GroupBreak. Upon completion of the auction, the net proceeds will be credited to the user’s Store Credit Balance.

GroupBreak does not guarantee auction outcomes, sale prices, or timing of completion. Once a card is submitted for auction, the submission is final and may not be canceled, withdrawn, reversed, or disputed.

 

SECTION 5 — SHIPPING & CLAIM WINDOWS

Except where otherwise stated, including but not limited to Fractional Breaks, cards will be shipped to the address listed in your account. You are responsible for ensuring your shipping address is accurate. GroupBreak is not liable for packages shipped to incorrect addresses provided by the customer.

Any claim regarding missing items, damaged cards, shipping errors, or tracking issues must be reported to GroupBreak within thirty (30) days from the date of tracking delivery. Claims submitted after thirty (30) days are invalid and will not be honored.

 

SECTION 6 — PAYMENTS & ACCOUNT BALANCES

All prices and payments are listed and processed in U.S. dollars. We reserve the right to cancel or refuse any order. Account credits, break proceeds, and buyback balances may be subject to withdrawal restrictions, verification procedures, or fraud prevention measures. We may limit withdrawals or require identification verification for security and compliance purposes.

 

SECTION 7 — NO REFUNDS

All sales are final. Once a break begins, no refunds will be issued for any reason, including but not limited to dissatisfaction with results, product contents, technical issues, or market value changes.

 

SECTION 8 — PROHIBITED CONDUCT

You may not use the Site for unlawful purposes, attempt to manipulate break results, disrupt broadcasts or systems, harass staff or community members, place multiple orders in order to circumvent promotion limits, or engage in fraudulent activity. We reserve the right to terminate accounts and ban users for conduct we deem harmful, inappropriate, or abusive.

 

SECTION 9 — INTELLECTUAL PROPERTY AND THIRD-PARTY MATERIALS

9.1 GroupBreak Content

All content on the Site created by or for GroupBreak, including without limitation text, original graphics, video content, trade dress, and the compilation and arrangement of such materials, is the property of GroupBreak and protected by applicable intellectual property laws. No User is granted any right or license to use GroupBreak’s proprietary content without express written permission.

Users may not copy, distribute, reproduce, publish, transmit, modify, create derivative works from, or exploit any portion of the Site’s proprietary content without prior written consent from GroupBreak.

9.2 Third-Party Trademarks and Images

The Site may display trademarks, logos, product images, and brand materials that are the property of third parties, including but not limited to trading card manufacturers, licensors, and product rights-holders. Such third-party materials are used solely for the legitimate purpose of identifying products offered, opened, sold, or discussed through our Services.

GroupBreak does not claim any ownership of third-party intellectual property, and all such rights are reserved to their respective owners. The use of third-party names, logos, images, or product depictions does not imply any affiliation with, endorsement by, or sponsorship from such third parties unless explicitly stated.

9.3 Fair Use and Rights Holder Requests

To the extent third-party materials are used on the Site without express license, such use is done pursuant to principles of fair use and product identification in connection with resale, review, and commentary related to hobby products.

If you are a rights holder and believe that your intellectual property has been used on the Site in a way that constitutes infringement or exceeds fair-use purposes, please contact us at support@groupbreak.com. Upon receipt of a proper notice, we will review and, where appropriate, remove or replace the material promptly.

 

SECTION 10 — DISCLAIMER OF WARRANTIES

The Service is provided “as is” and “as available,” without warranty or guarantee of uninterrupted operation, accurate card valuation, resale performance, platform availability, or market outcome.

 

SECTION 11 — LIMITATION OF LIABILITY

To the fullest extent permitted by law, GroupBreak shall not be liable for any indirect, incidental, consequential, punitive, or special damages, including loss of expected card value, lost profits, or data loss. Our liability for any claim is limited to the amount paid by you for the specific transaction at issue.

 

SECTION 12 — INDEMNIFICATION

You agree to indemnify and hold harmless GroupBreak and its affiliates, employees, and agents from claims arising out of your breach of these Terms or misuse of the Service.

 

SECTION 13 — GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by the laws of the United States. Any dispute arising out of these Terms shall be resolved through binding arbitration on an individual basis. Class actions are not permitted.
